General Terms and Conditions (GTC)

§1 Scope
1. These General Terms and Conditions (GTC) apply to all contracts, deliveries and services between North Workers GmbH (hereinafter referred to as "Contractor") and its customers (hereinafter referred to as "Client") within the framework of temporary employment and personnel placement.

2. Deviating terms and conditions of the Client shall only apply if they have been agreed in writing and expressly accepted by the Contractor.

§2 Subject matter of the contract
1.The contractor provides the client with qualified workers within the framework of temporary employment (according to the AÜG) or places staff for direct permanent employment.

2.The contractor remains the employer of the temporary workers throughout the entire period of assignment.

§3 Temporary employment
1. The contractor has a valid permit for the commercial temporary employment of workers in accordance with Section 1 of the Temporary Employment Act (AÜG).

2. The temporary employees are subject to the professional instructions and supervision of the client. The client undertakes to comply with all occupational health and safety regulations.

3. The Client is obliged to inform the Contractor of the specific location, the job description and all relevant conditions of use before the start of the assignment.

§4 Working hours & billing
1. Billing is based on the timesheets countersigned by the client.

2. The hourly rate agreed in the temporary employment contract plus the applicable VAT shall be decisive for invoicing.

3. Payments are due without deduction within 14 days of invoicing.

§51 Failure & Replacement
1. In the event of a temporary employee being unavailable, the Contractor shall endeavour to find an equivalent replacement at short notice.

2. There is no entitlement to a specific person unless this has been contractually agreed.

§6 Liability
1.The Contractor shall not be liable for damages caused by the employees provided, unless there is intent or gross negligence on the part of the Contractor.

2.The client is responsible for all instructions, work instructions and the execution of the work.

§7 Personnel placement & takeover
1. A temporary employee may be taken on as a direct employee by the client at any time.

2. In this case, a placement fee will be due depending on the duration of the assignment, unless otherwise agreed.

3. Details regarding the amount of the commission and any exemptions after a longer period of assignment are regulated in the assignment agreement.

§8 Confidentiality & Data Protection
1. Both parties undertake to maintain confidentiality with regard to all business information obtained in the course of the cooperation.

2. Personal data is processed in compliance with the GDPR.

§9 Contract duration & termination
1. The contract term and notice periods are based on the respective temporary employment contract.

2. The right to termination without notice for good cause remains unaffected.

§10 Final provisions
1. Any changes or additions to this contract must be made in writing.

2. Place of performance and jurisdiction is – to the extent permitted by law – the registered office of North Workers GmbH.

3. Should individual provisions of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
